White Label Agreement
This White Label Agreement (“Agreement”) is entered into between Nuvoris Labs (“Company”) and the approved white-label partner (“Brand Owner”).
1. Minimum Order Quantity (MOQ)
Brand Owner agrees to a minimum order quantity of 500 units per SKU for each production batch.
2. Branding Requirements
Brand Owner must provide compliant artwork that includes the following mandatory elements:
- “For Research Use Only – Not for Human Use”
- Lot Number
- Storage Instructions
- Distributor or Manufacturer Information
Artwork must NOT include:
- Medical or therapeutic claims
- Dosing instructions
- Any language implying human or animal use
The Company reserves the right to reject or require revisions to any artwork that violates regulatory or compliance standards.
3. Production Timeline
Estimated timelines per SKU are as follows:
- Artwork approval: 2–4 business days
- Label printing: 5–7 business days
- Production and packaging: 20–34 business days
Total estimated turnaround time: 30–45 days per SKU
Timelines may vary based on production capacity, material availability, and compliance review.
4. Payment Terms
All white-label orders require 100% prepayment prior to production.
Label design, revisions, or change fees may be billed separately.
5. Termination
Nuvoris Labs may terminate this Agreement at its sole discretion if the Brand Owner engages in or is suspected of:
- Non-compliance with research-use labeling requirements
- Misleading marketing suggesting human or animal use
- Conduct creating legal or regulatory risk to the Company
- Failure to meet minimum order quantity requirements
Termination may occur immediately to protect the Company’s operational, regulatory, or legal interests.
